Orange Terraces, Gbagada (Terms & Conditions)
Upon subscribing to this project, you agree to abide by the terms and conditions stated herein, which are the following:

1. Subscription Form:
1.1 The Subscription Form must be completed in CAPITAL LETTERS and in English language.
1.2 Any requested and /or supporting documentation(s) provided in any other language(s) must be accompanied by certified translations.
1.3 Whenever there is a change in any personal vital information supplied in this form, the subscriber shall notify the company as soon as possible with verifiable evidence.
1.4 All subscribers will be required to fill out an indemnity form for this subscription.
2. Payment:
2.1 There are two payment plan options for this project (Outright and Installment), subscribers are to indicate their preferred option on the subscription form.
2.2 Subscribers are required to make payments based on their chosen option and payment plan.
2.3 Default in payment shall attract 20% default charge on the required installment within the agreed duration of payment. 2.4 All payments shall be made in favour of the company, into the company’s designated bank accounts:

The seller will not be held liable for any payment made into non-designated accounts.
2.5 You are expected to keep records of payments and other related documents, as this would serve as proof should there be any disputes regarding payments.
2.6 There shall be no refund of any payment made for the purchase of property.

3. Documents:
3.1 Upon confirmation of the initial deposit, subscribers shall be issued a Receipt of Payment and Contract of Sale.
3.2 Issuance of Legal Deed and Floor Plan shall be a maximum of 60 days after the handover of keys: upon full payment for the apartment and documentation fee.
4. Other Charges:
4.1 Subscribers shall pay the sum of N5,000,000.00 (Five Million Naira). This price is subject to periodic upward review based on market price variation and would be requested at the point of delivery.
4.2 Developmental Levy shall cover the basic infrastructure of the estate – Road, Power and Security.
4.3 Subscribers shall pay the sum of N1,500,000.00 (One Million Five Hundred Thousand Naira) only as Documentation Fee.
4.4 Documentation Fee shall cover processing cost for the Legal Deed and Floor Plan per subscribed unit.
5. Delivery Timeline:
5.1 The delivery timeline shall be upon completion of the apartments (Estimate of 6-9 months from 3rd Quarter of 2025.
5.2 Any delay in delivery beyond the agreed timeline will be communicated to subscribers with updated delivery information and the extra cost shall borne by the seller.
5.3 Handover of keys shall be subject to completion of payment, inspection of the Apartment and validation of Checklist.

6. Refund Policy:
6.1 There shall be no refund of any payment made by subscribers who have filled out the subscription form.
6.2 Refund of payments to subscribers who have not filled out the subscription form can only be requested after 5 days of payment. Requests for refund after the specified days will not be treated.
6.2 Refund will be processed within 5 working days and subjected to 1% service charge deduction.

7. Service Charge:
Orange Terraces is a serviced apartment; subscribers are required to adhere to all covenants governing the apartments. A property management company will be engaged to oversee the management of the apartments.
8. Transfer of Ownership:
8.1 The management of Orange Terraces must be notified of any change of ownership to be initiated on allotted apartments.
8.2 The seller shall charge 5% of the sales price as transfer fee.
8.3 The transferee and transferor shall fill out the transfer of ownership form.
8.4 The transferee shall be issued a legal deed after a successful transfer.
9. Force Majeure & Dispute Resolution:
9.1 Event or circumstances beyond the control of the parties which may prevent either of the parties from fulfilling any part of their contractual obligation shall not amount to a breach of contract.
Events or circumstances in this regard include war, Natural disasters, Government declaration, Curfew, Covid-19, and Hyperinflation. However, where any of these events occur, parties can mutually vary the terms of this agreement to maintain the original intention as against abandonment of same.

9.2 In the event of extenuating circumstances that may prevent the delivery of the apartment to the purchaser, the company shall expedite delivery of physical possession within a reasonable time that would be communicated to the subscriber.
9.3 The company will refund subscribers’ payments under circumstances beyond our control.
9.4 Any disputes or disagreements arising from this agreement shall be resolved through arbitration following the rules by one or more arbitrators appointed.
10. Amendments and Modifications:
10.1 This document and the contract of sale constitute the entire agreement between the subscriber and seller and supersede any prior agreements, written or oral, related to the purchase of the apartment.
10.2 Any change or modification to these terms and conditions must be made in writing and signed by all involved parties to be considered valid.
10.3 Seller reserves the right to cancel any subscription under the following but not limited to these circumstances:
(i) Where there is a perceived illegal, illicit or fraudulent source of funds
(ii) Where the subscriber is of questionable character
(iii) Where the subscriber is of unsound mind.
(iv) Where the subscription contradicts Local, State and Federal Laws.
(v) Where unreasonable price variation, beyond projection, interferes with the possibility of delivering.
Acceptance
I/We attest to have read through, understood and
accepted the terms and conditions of Orange Terraces, Gbagada and hereby subscribe.
