Upon subscribing to this project, you agree to abide by the terms
and conditions stated herein, which include:

Subscription Form Guidelines:

  1. The Subscription Form must be completed in CAPITAL LETTERS and in English.
  2. Any supporting document(s) provided in another language must be
    accompanied by a certified translation.
  3. In case of any changes to personal or vital information provided in the form,
    the subscriber must notify the company promptly with verifiable evidence.
  4. All subscribers are required to complete an Indemnity Form as part of the subscription process.

Payment Terms & Conditions:

  1. There are two payment plan options available for this project. Subscribers must indicate their preferred option on the Subscription Form.
  2. Payments must be made strictly according to the chosen option and agreed payment plan.
    Default Charges
  3. Option 1: A 20% default charge applies to any missed installment within the agreed duration. A six (6) months consecutive default will result in the price being adjusted to the prevailing market rate.
  4. Option 2: Default in payment will result in the forfeiture of 50% of the initial deposit, with only the balance refundable.

Payment Guidelines

  1. All payments must be made only to the company’s designated bank accounts. The company will not be liable for payments made to non-designated accounts.
  2. Subscribers are advised to keep proper records of all payments and related documents, as they serve as proof in case of any disputes.

DOCUMENTATION

  1. Upon confirmation of the initial deposit, subscribers will receive:
  2. Receipt of Payment
  3. Contract of Sale
  4. Project Brochure
  5. Legal Deed & Floor Plan will be issued within 30 days after handover of keys, subject to full payment for the apartment and documentation fee.

OTHER CHARGES

  1. ₦5,000,000 Developmental Levy (Covers infrastructure: Roads, Power, and Security)
  2. This fee is subject to periodic upward review based on market fluctuations. Payment is required at the point of delivery.
  3. ₦1,000,000 Documentation Fee (Covers Legal Deed & Floor Plan)

DELIVERY TIMELINE

    The apartments will be delivered within 12 months from January 1, 2025.

  1. Any delay beyond the agreed timeline will be communicated to subscribers, and any extra cost due to delays will be borne by the company (SELLER).
  2. Handover of keys is subject to:
  3. Full payment
  4. Inspection of the apartment
  5. Validation of the checklist

REFUND POLICY

  1. No refunds will be made for payments by subscribers who have filled the Subscription Form.
  2. Refunds for payments made by subscribers who have not filled the Subscription Form must be requested within 5 days of payment. Requests after this period will not be entertained.
  3. Refunds will be processed within 5 working days, subject to a 1% service charge deduction.

MORTGAGE PROTECTION

  1. Subscribers must complete the necessary forms to secure mortgage insurance.
  2. The seller will provide assistance and guidance as required by the insurance company.

SERVICE CHARGE

  1. Orange Terraces is a serviced apartment; all subscribers must adhere to the covenants governing the estate.
  2. A property management company will be engaged to oversee maintenance and management of the apartments.

TRANSFER OF OWNERSHIP

  1. Any change in ownership must be officially communicated to the management of Orange Terraces.
  2. The seller will charge a 5% transfer fee on the transaction.
  3. Both parties (transferor and transferee) must complete the Transfer of Ownership Form.
  4. A Legal Deed will be issued to the transferee upon a successful transfer.

FORCE MAJEURE & DISPUTE RESOLUTION

  1. Circumstances beyond the control of either party (e.g., war, natural disasters, government declarations, economic crises, pandemics) shall not be considered a breach of contract.
  2. In such cases, both parties may mutually agree to vary the terms to uphold the original intent rather than abandoning the agreement.
  3. If unforeseen circumstances delay physical possession of the apartment, the company will expedite delivery within a reasonable timeframe, which will be communicated to the purchaser.
  4. If delivery becomes impossible due to circumstances beyond the seller’s control, a refund will be issued.
  5. Any disputes arising from this agreement shall be resolved through arbitration, following prescribed legal procedures.

AMENDMENTS & MODIFICATIONS

  1. This document and the Contract of Sale constitute the entire agreement between the subscriber and the SELLER, superseding any prior agreements.
  2. Any modifications or changes must be made in writing and signed by all parties to be valid.
  3. The SELLER reserves the right to cancel a subscription under the following conditions:
  4. Suspected illegal, illicit, or fraudulent source of funds
  5. Subscriber has a questionable character
  6. Subscriber is of unsound mind
  7. Subscription violates Local, State, or Federal Laws
  8. Unreasonable market price variations make delivery infeasible
